MagePal LLC End-User License Agreement (EULA) ------------------------------------------------------------------------------------------------------------------------ Important Notice: This End-User License Agreement ("Agreement") is a legally binding contract between you ("Licensee") and MagePal LLC ("Licensor"). By purchasing, downloading, or using any software, extensions, plugins, scripts, or services provided by MagePal LLC (collectively referred to as "Software"), you agree to the terms and conditions set forth in this Agreement. If you do not agree to these terms, you must not use or install the Software. Summary for General Understanding: A valid license is required for each publicly accessible Magento 2 shop using our Software. You may purchase a license on behalf of a client and implement customizations as needed. Redistribution of any part of the Software, either commercially or for free, is strictly prohibited. ------------------------------------------------------------------------------------------------------------------------ In Layman's terms ------------------------------------------------------------------------------------------------------------------------ In short, you need a license for each publicly accessible Magento 2 shop using our product. You may purchase it on behalf of your client and charge your client and implement it with any customizations required for your website. You may not redistribute any part of the product, in any other form, either commercially or free of charge. License Agreement ------------------------------------------------------------------------------------------------------------------------ 1. Grant of License 1.1 Upon purchase, MagePal LLC grants you, the Licensee, a non-exclusive, non-transferable, worldwide license to use the Software in accordance with the terms of this Agreement. 1.2 This license is limited to the use of one copy of the Software for a single Magento 2 installation, excluding development, staging, or testing environments. Each new project or client requires a separate license. 2. Acceptance of Agreement 2.1 By purchasing, downloading, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement. 2.2 This Agreement becomes legally binding upon your purchase or receipt of the Software, whether through MagePal LLC's website, email, or any third-party distribution platform such as GitHub or Dropbox. 3. Licensee's Responsibilities 3.1 You acknowledge that the Software is not custom-developed to meet your specific needs, and it is your responsibility to ensure that the Software’s features and functions meet your requirements. 3.2 You agree to protect the intellectual property rights of MagePal LLC and prevent unauthorized use, copying, or distribution of the Software. 4. Intellectual Property and Restrictions 4.1 The Software and all associated materials are protected by copyright, and MagePal LLC retains all rights, title, and interest in and to the Software. 4.2 You may not: - Use the Software in any other software or product. - Sell, sub-license, rent, lease, or lend the Software or any portion thereof. - Redistribute, reproduce, transfer, or publicly display the Software without the express written consent of MagePal LLC. - Remove or alter any branding, copyright, disclaimers, terms of use, or other proprietary notices in the Software. 4.3 Unauthorized use of the Software may result in termination of your license and may subject you to legal action, including but not limited to payment of damages and attorney’s fees. 5. Disclaimer of Warranties 5.1 THE SOFTWARE IS PROVIDED "AS IS," WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. 5.2 MagePal LLC shall not be liable for any damages arising from the use of the Software, including but not limited to indirect, special, incidental, or consequential damages such as loss of profits, business interruption, or loss of data. 6. Termination 6.1 This Agreement remains effective until terminated. MagePal LLC reserves the right to terminate your license at any time if you breach any terms of this Agreement. 6.2 Upon termination, you must cease all use of the Software and destroy all copies in your possession. No refunds will be issued for licenses terminated more than 30 days after purchase. 7. Governing Law and Jurisdiction 7.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, USA, without regard to its conflict of law principles. 7.2 Any disputes arising out of or in connection with this Agreement shall be resolved exclusively in the federal or state courts located in Gwinnett County, Georgia. 8. Modifications to Agreement 8.1 MagePal LLC reserves the right to modify this Agreement at any time.
